桃園國際機場股份有限公司成立於2010年11月1日，至今已邁入第10個年頭，旅客運量由2500萬人成長至4600萬人，營業收入亦由新台幣125億元成長至311億元，且航空收入與非航空收入之比重約為45%比55%，商業服務收入成為重要收入來源，已與世界各國先進機場的營運模式相仿，然而因其性質為國營事業，於公司治理上受到法令及制度之諸多限制，也成為機場公司在營運上之重大難題。
本研究將先以公司治理的理論與結構為基礎，進而說明國營事業之限制，再以SWOT分析法的理論內容，探討桃園國際機場股份有限公司在人事、財務、行政等公司治理方面之優勢、劣勢、機會與威脅，結合系統分析方法，提出相對應的決策，在其受限之營運管理模式下，推導出更加適合國營事業之公司治理方式，並且以競合理論進行分析，探究在參與者、附加價值、規則、戰術及規模五大元素影響下，尋求桃園國際機場股份有限公司創造價值與爭取價值之方式。
透過本研究之分析架構，希望能歸納出機場公司在法令、政策及制度之限制下，所受到之重大制肘，更進一步希望能藉由本研究所整理出之建議，提出可行性建議，讓國營事業能夠更加符合公司治理原理原則，並提高國營事業之競爭力。

Taoyuan International Airport Co., Ltd. was established on November 1, 2010 and has entered its 10th year. Passenger traffic has grown from 25 million to 46 million, and operating income has also increased from NT$12.5 billion to 31.1 billion. Yuan, and the proportion of aviation income and non-aeronautical income is about 45% to 55%. Commercial service income has become an important source of income. It has been similar to the operation mode of advanced airports around the world. However, due to its nature as a state-owned enterprise, its corporate governance Due to many restrictions of laws and regulations, it has also become a major problem for airport companies in their operations.
This research will first be based on the theory and framework of corporate governance, and then explain the limitations of state-owned enterprises. Using the theoretical content of the SWOT analysis method, we will explore the advantages, disadvantages, opportunities and threats of Taoyuan International Airport Co., Ltd. in corporate governance in personnel, finance and administration. Combining system analysis methods, put forward corresponding decision-making, and under its restricted operation and management mode, derive corporate governance methods more suitable for state-owned enterprises. It also analyzes the theory of co-opetition to explore ways to create value and strive for value under the influence of the five elements of players, added values, rules, tactics and scope.
Through the analysis framework of this study, I hope to summarize the major constraints that airport companies have suffered under the restrictions of laws, policies and systems. I further hope that through the recommendations compiled by this research institute, we can propose feasibility suggestions for the state-owned Businesses can be more in line with the principles of corporate governance and improve the competitiveness of state-owned enterprises.
