隨著比特幣的問世，區塊鏈技術開始受到眾人的青睞，有越來越多應用隨之落地，其一則是加密貨幣。2017年首次代幣發行的出現，創業融資的世界出現了翻天覆地的變化，越來越多新創公司利用ICO的方式實現了低進入門檻的融資；卻因缺乏監管的緣故，投機詐財事件層出不窮，投資者失去信心、ICO失去市場，STO應運而生。
與傳統首次公開發行(IPO)及首次代幣發行(ICO)相比，證券型代幣發行(STO)利用區塊鏈技術解決了IPO冗長繁複的中心化審核過程，在安全方面又排解了ICO缺乏監管的特性，保留其便利性；對於新創籌資來說，STO除了加快傳統公開發行的募資速度外，也提升資產的流動性，在金融市場中，不只使新創公司增加其募資管道，也讓投資者有新的選擇。
　　本研究選擇美國做為研究國際STO的現況發展的對象，原因在於美國是目前最多證券型代幣項目發行的國家、監管法規也相對完善；接著觀察台灣目前的現況，分別以「社會」、「技術（交易平台）」、「法規」三方面的視角來說明看法，進而窺探台灣在證券型代幣發行的展望。

With the advent of Bitcoin, blockchain technology has begun to be favored by everyone, with more and more applications coming down, one of which is cryptocurrency. The emergence of the Initial coin offering in 2017, the world of entrepreneurial financing has undergone earth-shaking changes. More and more startups have used ICO to achieve low entry barriers. However, due to lack of supervision, speculative frauds have emerged one after another. Investors lost confidence, ICO lost market, and STO came into being.
Compared with traditional initial public offerings (IPOs) and Initial coin offerings (ICOs), security token offerings (STOs) uses blockchain technology to solve the lengthy and complicated centralization process of IPOs. For new fundraising, in addition to accelerating the speed of fundraising for IPOs, STOs also enhances the liquidity of assets. In financial markets, not only does startups increase their fundraising Pipes also give investors new options.
This study selects the United States as the research object for the development of international STO. The reason is that the United States is currently the country with the most STO projects issued, and the regulatory regulations are relatively perfect. Then we observe the current situation in Taiwan, which is from the perspectives of "social" and " technology” and “regulations”, we will explain our views and then look into Taiwan’s prospects for STO.
