2018年我國公司法進行大幅度翻修，並於同年2018年11月1日正式施行，修法範圍的廣度及深度謂為近年之最，修法方向係加強監督經營者之責任，其中攸關企業之穩健發展的公司治理部分為預防經營者濫權而有侵害投資人及利害關係人之權益，依據新公司法之修訂是否有優化公司治理進而強化內部控制度以確實發揮修法效應。
本研究由公司法新制加以探討對公司治理與內部控制之效應，用文獻探討法及條文分析，逐步深入了解公司法新制對於「公司治理層面」、「內部控制層面」及「風險控制層面」，是否有顯著影響。
本研究對於公司法新制與「公司治理層面」、「內部控制層面」及「風險控制層面」之效應如下：
一、 公司治理層面：對於企業社會責任、提升股東會及董事會的職權與職能， 給予股東及董事較大彈性。
二、 內部控制層面：為因應亞太洗錢防制法，強化監理並符合國際規範。
三、 風險控制層面：增強公司治理，使公司資訊即時及正確揭露，並強化投資人保護機制，進而發揮外部專家功能。

Taiwan's corporate law has substantially revised in 2018, and it was officially implemented on November 1, 2018. The direction of the law revision is to strengthen the responsibility of the company operator. For the part of corporate governance is to prevent the company operator from infringing the rights of investors and stakeholders, and make sure whether the new corporate law have optimized corporate governance and then strengthening of the internal control system. This study explores the effects of the new corporate law system on corporate governance and internal control. It uses literature research methods and article analysis to gradually understand whether it has a significant impact on the new corporate law system for the "corporate governance level", "internal control level", and "risk control level". This study discusses how corporate law effects on “corporate governance level”, “internal control level” and “risk control level”.
A. corporate governance level:
Give shareholders and board greater flexibility about corporate social responsibility, and shareholders' authority and competency.
B. internal control level:
In response to the Asia-Pacific Money Laundering Prevention Act, to strengthen supervision and comply with international norms.
C. risk control level
Strengthen corporate governance, make information instantly and correctly disclosed.
